The market cap of the technology group Genius Sports has been dropping for the past few weeks and has now fallen below the price it paid to acquire digital sports and gaming media network Legend.

After Genius Sports announced the $1.2 billion acquisition of Legend on February 5, 2026, its stock price has since suffered huge hits, leading to the company’s market cap being valued at $1.09 billion. For context, the acquisition deal cost Genius $800 million in cash, $100 million in stock, and potentially around $300 million in performance earnouts.

After the announcement of the acquisition, the shares in the sports data provider dropped nearly 40%, pushing CEO Mark Locke to address the issue and defend the deal. Locke stressed that Legend’s Covers.com, Casino.org, and Casino Guru brands accumulated 320 million visits in 2025.

Locke commented:

“Booking.com earns commissions on travel revenue. No one would call it a simple affiliate business because it clearly has consistent demand. The principle is the same here. The question is not the revenue model; it is whether we own the audience, the data, and the participation layer. We do.”

Genius has projected that the combined efforts will generate $1.6 billion in sales in 2028; however, the company’s debt load and shareholder mistrust may push the technology group into a difficult financial situation.
